Please review the Toro Pulse Software Agreement before proceeding. Accepting these terms confirms your agreement to the legal framework governing use of the Software and related services.

This Software Agreement governs access to and use of Toro Pulse, including associated dashboards, analytics, telemetry ingestion, usage reporting, AI-assisted analysis, interfaces, APIs, documentation, and related hosted functionality made available by Toro Automate. By selecting "Accept," you confirm that you are authorized to bind yourself and, if applicable, your organization to this Agreement.
Subject to compliance with this Agreement and payment of applicable fees, Toro Automate grants you a limited, non-exclusive, non-transferable, revocable right to access and use Toro Pulse for your internal business operations. You may not resell, sublicense, reverse engineer, decompile, circumvent access controls, or use the Software in a way that violates applicable law or third-party rights.
You retain responsibility for the accuracy, legality, integrity, and authorization of all telemetry, configuration data, process metrics, and other content submitted to Toro Pulse. You represent that you have all necessary rights and permissions to submit such data for analysis. Toro Automate may process this data to provide the Software, generate reports, improve service functionality, maintain security, and support customers.
Toro Pulse may generate analytics, summaries, comparisons, recommendations, forecasts, and return-on-investment calculations based on telemetry data, user-provided assumptions, system configuration, and other inputs. These outputs are intended to support operational visibility and decision-making; however, they may not always be fully accurate, complete, or suitable for every business, regulatory, accounting, or legal purpose. You are responsible for validating outputs before relying on them for material business decisions.
Access to Toro Pulse may be offered under tiered plans, token-based billing, invoices, or other commercial arrangements communicated during onboarding or in a separate order, statement of work, quote, or invoice. Fees are non-refundable except where required by law or expressly agreed in writing. Failure to pay applicable fees may result in suspension or termination of access.
Toro Automate will use commercially reasonable efforts to maintain availability of the Software but does not guarantee uninterrupted or error-free service. Maintenance windows, third-party outages, force majeure events, customer environment issues, data quality issues, and integration failures may affect performance.
Each party shall protect the other party's confidential information using reasonable safeguards and shall not disclose or use such information except as necessary to perform under this Agreement, comply with law, or enforce legal rights. Confidential information does not include information that becomes public without breach, was already known, or is independently developed without use of the disclosing party's confidential information. Toro Automate DOES NOT store sensitive personally identifiable information (PII) or personally identifiable financial information (PIFI) in the Software, and you agree not to submit such information through the Software.
Toro Automate and its licensors retain all right, title, and interest in and to Toro Pulse, including all software, visual designs, documentation, reports, methodologies, and derivative works, excluding Customer Data. No ownership rights are transferred to you under this Agreement.
TORO PULSE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORO AUTOMATE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUTS OR ANALYTICS WILL BE ACCURATE, ERROR-FREE, OR SUFFICIENT FOR YOUR INTENDED USE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORO AUTOMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF REVENUE, PROFITS, SAVINGS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TORO AUTOMATE'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED AMOUNTS PAID DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to defend, indemnify, and hold harmless Toro Automate, Torolink LLC, and their personnel from claims, damages, liabilities, costs, and expenses arising from your misuse of the Software, violation of law, breach of this Agreement, or submission of data without adequate rights or authorization.
Toro Automate may suspend or terminate access where reasonably necessary to address security risk, legal compliance, nonpayment, abuse, fraud, or material breach of this Agreement. Upon termination, your right to use the Software ends immediately.
Any dispute arising out of or relating to this Agreement shall first be subject to a good-faith attempt at informal resolution. If not resolved, the dispute shall be resolved by final and binding arbitration administered by a mutually recognized arbitration provider on an individual basis. Each party waives any right to a jury trial or class action to the fullest extent permitted by law.
This Agreement shall be governed by the laws of the State of Arizona, without regard to conflict of law principles, except to the extent superseded by applicable federal law.
Toro Automate may update this Agreement from time to time. Material changes may be presented in the Software or otherwise communicated. Continued use after an updated effective date constitutes acceptance of the revised Agreement.
Toro Automate will periodically review support inquiries and may provide assistance through email, documentation, or other resources. Support does not include custom development, integration work, or guaranteed response times unless separately agreed in writing.
Toro Automate may automatically collect device and usage data such as IP address, browser type, operating system, referring URLs, pages viewed, links clicked, access times, and similar usage information to operate, secure, and improve the Services. Cookies, local storage, web beacons, pixels, and similar technologies may be used to remember preferences, analyze usage patterns, and support service functionality.
Toro Automate may also receive information from business partners, analytics providers, event co-hosts, marketing partners, or publicly available sources, and may combine that information with data already collected in order to improve communications and the Services.
Personal information may be retained as reasonably necessary to provide Services, resolve disputes, comply with law, and enforce agreements. Toro Automate uses reasonable administrative, technical, and physical safeguards, though no system is completely secure. Depending on jurisdiction, users may have rights to access, correct, update, restrict, or delete personal information and may opt out of marketing communications.
The Services are not intended for children under 13. Toro Automate may update this privacy notice from time to time. Questions regarding privacy practices may be directed to Toro Automate / Torolink LLC at Questions@toroautomate.com.
Toro Pulse is built with enterprise security, governance, and compliance expectations at the core of its architecture. The platform is designed to support organizations operating in sensitive environments, including healthcare, insurance, finance, and regulated enterprise automation programs.
Toro Pulse uses a tenant-isolated architecture that separates customer data by organization and enforces access boundaries through role-based access control. Administrative access, user management, process visibility, telemetry review, and AI insight workflows are governed by permission-based controls so users only access the data and actions appropriate to their role.
Current controls include authenticated API access, tenant-scoped data handling, audit logging, password hashing using PBKDF2-SHA512, encrypted application transport over HTTPS/TLS, and protected configuration management through Azure-hosted infrastructure. Sensitive runtime secrets are managed through secure cloud configuration patterns such as Azure Key Vault references rather than hardcoded application settings.
Key platform actions — telemetry ingestion, AI insight generation, administrative changes, and billing/token-related events — are designed to support traceability. This helps organizations maintain visibility into who performed an action, when it occurred, and how it affected governed automation intelligence workflows.
Toro Pulse does not require sensitive business records, protected health information, or personally identifiable information to deliver automation intelligence. The platform is designed to ingest operational telemetry only — such as process names, session identifiers, run status, transaction counts, exception rates, queue metrics, timestamps, SLA indicators, and infrastructure performance signals. Telemetry received by Toro Pulse should not map to individual patients, members, employees, customers, or other identifiable persons.
Toro Pulse's AI insight layer is designed for governed operational analysis, not unrestricted access to customer data. AI-generated summaries, recommendations, and risk indicators are based on structured automation telemetry. AI insight workflows are designed with reviewability, token governance, execution logging, and lifecycle controls so organizations can monitor generated outputs, approve or reject recommendations, and maintain accountability over AI-assisted analysis.
Toro Pulse is currently being built toward enterprise control frameworks, including SOC 2, HIPAA-aligned safeguards, and ISO 9001 quality management expectations. Formal certifications are pending and should not be interpreted as currently completed attestations. The platform architecture is being developed to support future compliance readiness through access control, auditability, secure data handling, incident response alignment, change governance, and documented operational procedures.
Toro Pulse is designed to provide automation intelligence without becoming a repository for sensitive source-system data. It focuses on secure telemetry, governed analytics, tenant isolation, controlled access, and auditable AI insights so enterprises can measure and improve automation performance while reducing unnecessary data exposure.
We do not store sensitive information! Any personally identifiable information received via telemetry will not map to Toro Pulse metrics.
